Using Codernicus Services is completely optional. If you’re not comfortable with any of the terms outlined below, you can choose not to access our Services.

1. Agreement to Terms

Welcome and thank you for your interest in Codernicus Kft. (“Codernicus”, “we”, “us”, “our”). These Terms of Service (this “Agreement”) describe the terms and conditions that apply to your use of our website located at https://codernicus.com and its subdomains (collectively, the “Site”) and the products, services, content and other resources available on or enabled via our Site (collectively, the “Codernicus Services”). By registering for an account, clicking the “I Accept” button, or using the Codernicus Services in any way, you or the entity you represent (the “Customer”, “you”) are unconditionally consenting to be bound by and becoming a party to this Agreement with Codernicus. If you are entering into this Agreement on behalf of an entity, you represent and warrant that you have the authority to bind such entity to these terms.

You agree that by accessing the Codernicus Services, you have read, understood, and agree to be bound by all of the Agreement. If you do not agree to this Agreement, then you are expressly prohibited from using the Codernicus Services and you must discontinue use immediately.

This Agreement is subject to change by Codernicus in its sole discretion at any time as set forth in Section 20.

The information provided on the Codernicus Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Codernicus Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Codernicus Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Codernicus Services.

2. User Representations

By using the Codernicus Services, you represent and warrant that:

  1. all registration information you submit will be true, accurate, current, and complete;
  2. you will maintain the accuracy of such information and promptly update such registration information as necessary;
  3. you are not a minor in the jurisdiction in which you reside;
  4. you will not use the Codernicus Services for any illegal or unauthorized purpose;
  5. your use of the Codernicus Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Codernicus Services (or any portion thereof).

You may be required to register with the Codernicus Services.

You are responsible for protecting your account and any login credentials. You must notify us if you suspect any unauthorized use of your account.

3. Intellectual Property Rights

3.1. Regarding Codernicus Services

Unless otherwise indicated, Codernicus Services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of Hungary and the European Union, international copyright laws, and international conventions.

The Content and the Marks are provided on the Codernicus Services “AS-IS” for your information and personal use only. Except as expressly provided in this Agreement no part of the Codernicus Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Provided that you are eligible to use the Codernicus Services, you are granted a limited license to access and use the Codernicus Services and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Codernicus Services, the Content and the Marks.

Open-source software licenses for components of the Codernicus Services released under an open-source license constitute separate written agreements. To the limited extent that the open-source software licenses expressly supersede this Agreement, the open-source licenses govern your agreement with Codernicus for using the components of the Codernicus Services released under an open-source license.

3.2 Regarding Delivered Software

Unless otherwise indicated, software written by Codernicus on behalf of Customer (“Delivered Software”) including all source code, databases, functionality, website design, audio, video, text, photographs, graphics, and the trademarks, service marks, and logos contained therein are the proprietary property of Customer.

Open-source software licenses for components of the Delivered Software released under an open-source license constitute separate written agreements. To the limited extent that the open-source software licenses expressly supersede this Agreement, the open-source licenses govern your agreement with Codernicus regarding the components of the Delivered Software released under an open-source license.

4. Prohibited Activities

You may not access or use the Codernicus Services for any purpose other than that for which we make the Codernicus Services available.

As a user of the Codernicus Services, you agree not to:

  • Systematically retrieve data or other content from the Codernicus Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
  • Circumvent, disable, or otherwise interfere with security-related features of the Codernicus Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Codernicus Services and/or the Content contained therein.
  • Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Codernicus Services.
  • Use any information obtained from the Codernicus Services in order to harass, abuse, or harm another person.
  • Make improper use of our support services or submit false reports of abuse or misconduct.
  • Use the Codernicus Services in a manner inconsistent with any applicable laws or regulations.
  • Engage in unauthorized framing of or linking to the Codernicus Services.
  • Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Codernicus Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Codernicus Services.
  • Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
  • Delete the copyright or other proprietary rights notice from any Content.
  • Attempt to impersonate another user or person or use the username of another user.
  • Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
  • Interfere with, disrupt, or create an undue burden on the Codernicus Services or the networks or services connected to the Codernicus Services.
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Codernicus Services to you.
  • Attempt to bypass any measures of the Codernicus Services designed to prevent or restrict access to the Codernicus Services, or any portion of the Codernicus Services.
  • Copy or adapt the Codernicus Services’ software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
  • Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Codernicus Services.
  • Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Codernicus Services, or using or launching any unauthorized script or other software.
  • Use a buying agent or purchasing agent to make purchases on the Codernicus Services.
  • Make any unauthorized use of the Codernicus Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.

5. Feedback

You acknowledge and agree that any questions, comments, suggestions, ideas, or other information regarding the Codernicus Services (“Feedback”) provided by you to us are non-confidential and shall become our sole property.

We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Feedback for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

You hereby waive all moral rights to any such Feedback, and you hereby warrant that any such Feedback are original with you or that you have the right to submit such Feedback. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Feedback.

6. Site Management

We reserve the right, but not the obligation, to:

  1. monitor the Codernicus Services for violations of this Agreement;
  2. take appropriate legal action against anyone who, in our sole discretion, violates the law or this Agreement, including without limitation, reporting such user to law enforcement authorities;
  3. in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof;
  4. in our sole discretion and without limitation, notice, or liability, to remove from the Codernicus Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and
  5. otherwise manage the Codernicus Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Codernicus Services.

7. Privacy Policy

The Codernicus Services are provided in accordance with our Privacy Policy.

8. Term and Termination

This Agreement shall remain in full force and effect while you use the Codernicus Services. Without limiting any other provision of these Agreement, we reserve the right to, in our sole discretion, deny access to and use of the Codernicus Services (including blocking certain IP addresses) to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in this Agreement or of any applicable law or regulation. If we intend to suspend your account, we will provide you with at least 3 (three) days’ prior notice.

We may terminate your use or participation in the Codernicus Services or delete your account and any content or information that you have posted at any time, in our sole discretion. In the case of regular termination, we will send you a notice at least 5 (five) days in advance. During the termination process, you have the opportunity to retrieve your data by sending a request to [email protected].

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your own name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive remedies.

9. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Codernicus Services at any time or for any reason at our sole discretion. However, if we decide to discontinue our services, we will notify you at least 30 (thirty) days prior to the event. In the case of any price changes, we will provide you with at least 30 (thirty) days’ notice before the change takes effect.

We cannot guarantee that the Codernicus Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Codernicus Services, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Codernicus Services during any downtime or discontinuance, provided we have complied with the notice periods specified above.

Nothing in this Agreement will be construed to obligate us to maintain and support the Codernicus Services or to supply any corrections, updates, or releases, except as expressly stated herein.

We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Codernicus Services, provided we have given the required notice.

10. Governing Law

This Agreement is governed by and interpreted in accordance with the laws of Hungary, and the application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. If your habitual residence is in the European Union and you are acting as a consumer, you additionally benefit from the mandatory provisions of the law of your country of residence.

In the event of any dispute arising out of or in connection with this Agreement, Codernicus and you agree that the Hungarian courts having jurisdiction and competence shall have non-exclusive jurisdiction. This does not affect your rights as a consumer to bring a claim in the courts of your country of residence in the EU or any other forum mandated by applicable law.

11. Dispute Resolution

11.1. Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to this Agreement (each “Dispute” and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least 30 (thirty) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

11.2. Binding Arbitration

Any dispute arising from the relationships between the Parties to this contract shall be determined by one arbitrator who will be chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration being part of the European Centre of Arbitration having its seat in Strasbourg, and which are in force at the time the application for arbitration is filed, and of which adoption of this clause constitutes acceptance. The seat of arbitration shall be Budapest, Hungary. The language of the proceedings shall be English. Applicable rules of substantive law shall be the law of Hungary.

11.3. Information on Hungarian Consumer Dispute Resolution

If you are a consumer residing in Hungary, you may request the procedure of a Hungarian consumer dispute resolution board (“Békéltető Testület”). The board that has competence is the one in the district of your Hungarian residence. If you do not have a Hungarian residence, the competent board will be the one that has jurisdiction based on the seat of Codernicus.

11.4. Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law,

  1. no arbitration shall be joined with any other proceeding;
  2. there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and
  3. there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

11.5. Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration:

  1. any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party;
  2. any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and
  3. any claim for injunctive relief.

If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

12. Corrections

There may be information on the Codernicus Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information.

We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Codernicus Services at any time, without prior notice.

13. Disclaimer

THE CODERNICUS SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE CODERNICUS SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE CODERNICUS SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CODERNICUS SERVICES’ CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE CODERNICUS SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE CODERNICUS SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE CODERNICUS SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE CODERNICUS SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE CODERNICUS SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE CODERNICUS SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

14. Limitations of Liability

YOU HEREBY EXPRESSLY UNDERSTAND AND AGREE THAT CODERNICUS, ITS SUBSIDIARIES AND AFFILIATES, AND ITS LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL CONSEQUENTIAL OR EXEMPLARY DAMAGES WHICH MAY BE INCURRED BY YOU, HOWEVER, CAUSED AND UNDER ANY THEORY OF LIABILITY. THIS SHALL INCLUDE, BUT NOT BE LIMITED TO, ANY LOSS OF PROFIT (WHETHER INCURRED DIRECTLY OR INDIRECTLY), ANY LOSS OF GOODWILL OR BUSINESS REPUTATION, ANY LOSS OF DATA SUFFERED, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSS. UNLESS OTHERWISE IT IS EXPRESSLY STATED IN THESE TERMS, CODERNICUS’ MAXIMUM AGGREGATE LIABILITY TO YOU OR ANY PARTY OR PERSON FOR DAMAGES OF ANY KIND THAT YOU OR ANY PARTY SUFFERS IN CONNECTION WITH CODERNICUS SERVICES OR OFFERINGS OR THESE TERMS IS LIMITED TO THE AMOUNT OF THE FEES PAID BY YOU TO CODERNICUS IN THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE OF THE LAST EVENT GIVING RISE TO THE LIABILITY.

THE LIMITATIONS ON CODERNICUS’ LIABILITY TO YOU IN THE PARAGRAPH ABOVE SHALL APPLY WHETHER OR NOT YOU OR CODERNICUS HAS BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING AND SHALL IN ALL CASES APPLY TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.

15. Indemnification

You agree to hold harmless, defend and indemnify Codernicus, and its subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers or partners (collectively Codernicus and Partners”) from and against any third party claim arising from or in any way related to (a) your breach of this Agreement, (b) your use of Codernicus Services, (c) your violation of applicable laws, rules or regulations in connection with Codernicus Services, or (d) your Customer Data, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs, and attorneys’ fees, of every kind and nature.

16. Customer Data

“Customer Data” means any data and/or other content provided or developed by or on behalf of Customer and used with the Codernicus Services.

Customer represents and warrants that any Customer Data hosted and stored by Codernicus as part of the Codernicus Services shall not (a) infringe, misappropriate or violate any Intellectual Property Rights, publicity/privacy rights, law or regulation; (b) be deceptive, defamatory, obscene, pornographic or unlawful; (c) contain any viruses, worms or other malicious computer programming codes intended to damage, surreptitiously intercept or expropriate any system, data or personal or personally identifiable information; or (d) otherwise violate the rights of a third party.

Codernicus is not obligated to back up any Customer Data; the Customer is solely responsible for creating backup copies of any Customer Data at Customer’s sole cost and expense. Customer agrees that any use of the Codernicus Services contrary to or in violation of the representations and warranties of Customer in this section constitutes unauthorized and improper use of the Codernicus Services.

Customer shall have access to the Customer Data and shall be responsible for all changes to and/or deletions of Customer Data and the security of all passwords and other access protocols required in order the access the Codernicus Services. Customer shall have the ability to export Customer Data out of the Codernicus Services and is encouraged to make its own back-ups of the Customer Data. Customer, and not Codernicus, shall have the sole responsibility for the accuracy, quality, integrity, legality, reliability, security and appropriateness of all Customer Data.

17. Confidentiality

“Confidential Information” means (a) terms and conditions of these Terms and any technical or performance information about the Codernicus Services that is not publicly available; (b) any Customer Data that is not publicly available; and (c) any other information relating a party that is disclosed in writing or orally and is designated as confidential or proprietary at the time of disclosure (and, in the case of oral disclosures, summarized in writing within 5 (five) calendar days of the initial disclosure and delivered to the receiving party), or that due to the nature of the information the receiving party would clearly understand it to be confidential information of the disclosing party.

Confidential Information shall not include any information that:

  1. was or becomes generally known to the public through no fault or breach of this Agreement by the receiving party;
  2. was rightfully in the receiving party’s possession at the time of disclosure without restriction on use or disclosure;
  3. was independently developed by the receiving party without use of the disclosing party’s Confidential Information; or
  4. was rightfully obtained by the receiving party from a third party not under a duty of confidentiality and without restriction of use or disclosure. For the avoidance of doubt, the fact the Customer uses Codernicus Services shall not be treated as confidential.

The party receiving Confidential Information will:

  1. use the Confidential Information of the other party solely for the purpose for which it is provided;
  2. not disclose such Confidential Information to a third party, except on a need-to-know basis to its directors, officers, representatives, investors, attorneys, consultants, sub-contractors and service providers who are under confidentiality obligations at least as restrictive as those contained herein; and
  3. protect such Confidential Information from unauthorized use and disclosure to the same extent (but using no less than a reasonable degree of care) that it protects its own Confidential Information of a similar nature; provided, however, that a party may disclose such Confidential Information as required by applicable laws, subject to the party required to make such disclosure giving reasonable notice (if legally permitted to do so) to the other party to enable it to contest such order or requirement or limit the scope of such request.

The parties agree they can have competing products and services if these are not developed with or use the other party’s Confidential Information.

18. Electronic Communications, Transactions, and Signatures

Visiting the Codernicus Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Codernicus Services, satisfy any legal requirement that such communication be in writing.

You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Codernicus Services.

You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

19. Miscellaneous

This Agreement and any policies or operating rules posted by us on the Codernicus Services or in respect to the Codernicus Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. This Agreement operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of this Agreement is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of this Agreement or use of the Codernicus Services. You agree that this Agreement will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of this Agreement and the lack of signing by the parties hereto to execute this Agreement.

20. Agreement Updates

When changes are made, Codernicus will make a new copy of this Agreement available on the Website and will also update the “Last Updated” date at the top of these Terms.

For any material changes, Cordernicus will send the Customer an updated copy of this Agreement to the email address tied to Customer’s account.

Unless otherwise stated in such update, any changes to this Agreement will be effective immediately for new customers and 5 (five) days after posting for existing customers.

IF THE CUSTOMER DOES NOT AGREE TO ANY CHANGE(S) AFTER RECEIVING A NOTICE OF SUCH CHANGE(S), THE CUSTOMER SHALL STOP USING THE SITE.
